Terms and Conditions for Magnus PMCC (Construction and Management Company)
Please read these Terms and Conditions (“Terms”) carefully before accessing or using the services provided by Magnus PMCC, a construction and management company. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use our services.
- Services Magnus PMCC provides construction and project management services to clients. Our services may include, but are not limited to, project planning, design management, procurement, construction supervision, quality control, cost management, and post-construction services.
- Client Engagement a. Engagement Process: In order to engage our services, clients must enter into a written agreement with Magnus PMCC. The agreement will outline the scope of work, deliverables, timelines, and fees.
b. Scope of Work: The scope of work will be defined in the agreement between Magnus PMCC and the client. Any changes or additions to the scope of work must be agreed upon in writing by both parties.
- Obligations of Magnus PMCC a. Professionalism: Magnus PMCC will provide services in a professional and diligent manner, employing best practices and industry standards.
b. Communication: Magnus PMCC will maintain regular communication with the client to ensure that project objectives, timelines, and budgets are being met. Clients will be provided with progress reports and updates as agreed upon in the engagement agreement.
c. Compliance with Laws and Regulations: Magnus PMCC will comply with all applicable laws, regulations, and codes in the provision of services.
d. Confidentiality: Magnus PMCC will treat all client information, including project details and documents, as confidential and will not disclose it to third parties without the client’s consent, unless required by law.
- Obligations of the Client a. Cooperation: The client shall cooperate with Magnus PMCC and provide all necessary information, documents, and access to the project site to facilitate the provision of services.
b. Timely Payments: The client agrees to make timely payments to Magnus PMCC as outlined in the engagement agreement. Failure to make payments may result in a delay or suspension of services.
c. Change Orders: If the client wishes to make changes to the scope of work, a change order request must be submitted in writing. Magnus PMCC will evaluate the requested changes and provide the client with a revised scope, timeline, and cost estimate.
- Intellectual Property a. Ownership: Any intellectual property rights arising from the services provided by Magnus PMCC, including designs, reports, and project documentation, will remain the property of Magnus PMCC unless otherwise agreed upon in writing.
b. Usage: The client is granted a non-exclusive, non-transferable license to use the deliverables provided by Magnus PMCC solely for the purpose of the project. The client may not reproduce, modify, or distribute the deliverables without prior written consent from Magnus PMCC.
- Limitation of Liability a. Indemnification: The client agrees to indemnify and hold Magnus PMCC, its employees, agents, and subcontractors harmless from any claims, damages, or liabilities arising from the client’s use of the services, except in cases of gross negligence or willful misconduct by Magnus PMCC.
b. Limitation: In no event shall Magnus PMCC be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the services provided, even if advised of the possibility of such damages.
- Termination a. Termination for Convenience: Either party may terminate the engagement agreement at any time with written notice to the other party. Magnus PMCC shall be compensated for services rendered up to the termination date.
b. Termination for Cause: Either party may terminate the engagement agreement for a material breach by the other party. In such cases, the non-breaching party shall provide written notice specifying the breach, and the breaching party shall have a reasonable opportunity to remedy the breach.
- Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Magnus PMCC is located. Any disputes arising out of or in connection with these Terms shall be resolved through good-faith negotiations. If a resolution cannot be reached, the parties agree to submit to binding arbitration in accordance with the rules of a recognized arbitration authority.
- Modification of Terms Magnus PMCC reserves the right to modify or amend these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. It is the responsibility of the client to review the Terms periodically for any updates or changes.
- Entire Agreement These Terms, along with any written agreement between Magnus PMCC and the client, constitute the entire agreement between the parties and supersede any prior agreements or understandings, whether oral or written.
